The Senior Corporate Counsel serves as a core legal partner to the business, responsible for structuring, drafting, and negotiating client, partner, and vendor agreements to drive commercially sound outcomes while protecting the company's legal position. This role plays a central part in facilitating revenue-generating activities by supporting the sales and partnership teams throughout the deal lifecycle, translating complex legal risks into practical, business-oriented solutions, and ensuring contractual terms align with the company’s strategic objectives. In addition, the role manages legal responses to subpoenas, court orders, and other formal inquiries, while developing and maintaining standardized documentation that supports consistent, efficient legal execution across the organization.

What You’ll Do

Client/Partner Contracts

  • Structure, draft, and negotiate client and partner agreements — including master services agreements, program agreements, referral agreements, and amendments — to drive deals to close while protecting the company’s legal position.
  • Collaborate with the Sales and Partnership teams throughout the deal lifecycle, providing real-time legal guidance to accelerate deal velocity.
  • Attend client meetings and correspond directly with client counsel or representatives to resolve open legal points efficiently.
  • Develop and maintain standard form agreements, contract playbooks, and fallback positions to support consistent, scalable contracting.

Vendor Agreements

  • Review, analyze, and redline inbound vendor and third-party agreements, identifying legal, regulatory, and business risk.
  • Communicate identified risks clearly to relevant business stakeholders with practical, risk-based recommendations for mitigation or acceptable fallback positions.
  • Partner with business representatives to negotiate contract terms to favorable outcomes, balancing the company’s risk tolerance with commercial objectives.
  • Support contract lifecycle management, including maintaining agreement templates and tracking renewal and expiration obligations.

Regulatory & Compliance

  • Ensure all client, partner, and vendor contracts accurately reflect applicable compliance and regulatory obligations, working cross-functionally to embed legal and regulatory requirements into contractual terms.

Legal AI Practice

  • Lead the evaluation, adoption, and governance of AI-powered legal tools, establishing sound practices for responsible use of legal AI across the Dash legal department.
  • Develop and maintain internal policies and guidelines for AI use in legal work, including confidentiality, accuracy standards, and ethical obligations.
  • Stay current on emerging legal AI trends, regulatory developments, and best practices to ensure the department operates at the leading edge of modern legal practice.

What We’re Looking For

  • Juris Doctor from accredited law school and active bar membership (in good standing) in at least one U.S. State.
  • 5+ years minimum experience in business environment (law firm or other).
  • Experience in payments or general financial contracts or a strong track record of transferable skills
